What you can expect from OPTISALE, and what we expect from you.
What this agreement covers
These terms are between you — the business using OPTISALE — and us. They apply whenever you or anyone you have added to your company uses the app, on the web or on a phone.
You accept them, and our Privacy Policy, by ticking the box when you create your account, or when we ask you to after they change. We keep a record of when you did and which version you accepted. If you do not accept them, do not use the service.
Who can use OPTISALE
You must be at least 18 years old, and able to enter a binding contract where you live. You confirm both when you create your account.
OPTISALE is for running a business. If you sign up on behalf of a business, you confirm that you are allowed to accept these terms for it.
OPTISALE is not offered to businesses in the European Union or the United Kingdom. Do not set up a company for a business based there.
Everyone you add to your company must be 18 or older too, and confirms it when they create their account. If we learn that an account belongs to someone younger, we will close it.
A service for businesses
OPTISALE is sold to businesses, for running a business. If a law where you live gives you rights as a consumer that cannot be taken away by a contract — for example under the consumer protection laws of the European Union, the United Kingdom, Nigeria or South Africa — nothing in these terms takes them away.
Your account
You are responsible for what happens under your account, including anything your staff do with the access you give them. Keep your password to yourself and turn on two-factor sign-in if more than one person can reach your device.
You must give accurate information when you sign up, and keep your contact email working — it is how we reach you about your account and how you get back in if you are locked out.
What you may not do
Do not use OPTISALE for anything illegal, to store someone else’s data without the right to, or to try to reach another company’s records. Do not attempt to break, overload or work around the limits of the service.
Do not use OPTISALE if you, or the business you act for, are the target of sanctions imposed by the United Nations, the European Union, the United Kingdom or the United States, or to deal with anyone who is.
We may suspend an account that does any of this, and we will tell you why.
Plans and payment
Paid plans are billed monthly through our payment partners, in the currency shown at checkout — naira for a shop in Nigeria, US dollars for a shop anywhere else. The price you see there is the price charged.
If you turn on automatic renewal, we charge the card you used on the same day each month until you turn it off. You can turn it off at any time in Settings → Billing, and it takes effect from the next renewal.
You can move to a larger plan at any time. Moving to a smaller one happens when the plan you have paid for runs out, or sooner if you write to us. We do not refund part of a month, but we do not take a second payment for a plan you are already on.
If a payment fails we will try again and tell you. If it keeps failing, the parts of the app your plan covers stop opening — your records are not deleted, and they come back when payment succeeds.
Your records belong to you
Everything you put into OPTISALE — your products, sales, customers and books — is yours. We do not sell it, and we do not use it to advertise to you or anyone else.
You can export your company data at any time from inside the app. If you close your account, export it first.
Your customers’ personal data: our data processing terms
The details you record about your customers, suppliers and staff are personal data that you control. We process them only on your behalf, as your “processor” under the EU and UK GDPR, a “data processor” under the Nigeria Data Protection Act 2023, and an “operator” under South Africa’s POPIA. These terms are our agreement with you for that, and in particular we:
• process that data only to provide OPTISALE and on your instructions — which are these terms and what you do in the app — unless a law requires otherwise, in which case we tell you first if the law allows;
• make sure everyone at OPTISALE who can reach it is bound to keep it confidential, and protect it with the measures described under “Keeping it safe” in the Privacy Policy;
• use only the sub-processors listed in the Privacy Policy, hold each to data protection obligations at least as strict as these, tell you before adding or replacing one, and remain responsible for them — if you object, you can close your account;
• help you answer requests from the people the data is about, and with security, breach notification and impact assessments, as far as we reasonably can;
• tell you without undue delay after we become aware of a breach affecting it;
• delete it when your shop is closed, as described under “Ending it”, except what a law requires us to keep; and
• give you the information you need to show that these obligations are met, and allow reasonable audits on notice.
Where that data leaves the European Economic Area, the United Kingdom or another country that restricts transfers, we rely on the safeguards the law recognises, such as the European Commission’s Standard Contractual Clauses.
What we promise, and what we do not
We work to keep the service available and correct, and we publish how it has been running. We cannot promise it will never be unavailable, and we do not promise it is free of every fault.
OPTISALE records what you tell it. It is not an accountant and it is not tax advice: the figures it produces are only as good as what was entered, and you are responsible for what you file.
To the extent the law allows, we are not liable for lost profit or lost business arising from use of the service, and our total liability in any twelve months is limited to what you paid us in that period. Nothing in these terms limits a liability the law does not allow to be limited.
Ending it
You can stop using OPTISALE whenever you like, and delete your account from inside the app: Settings → Account & Security → Delete account.
If you are the only owner of a shop, deleting your account closes the shop. Nobody can use it from that moment; 30 days later its records are deleted for good. Write to us within those 30 days to reopen it. Download your records first — the app offers to when you close.
We may end this agreement if you break these terms, or if we stop offering the service — in which case we will give you reasonable notice and time to export your data.
The law that applies
These terms are governed by the laws of the Federal Republic of Nigeria. If a disagreement cannot be settled by talking to each other first, it will be decided by the courts of Nigeria.
This does not take away any right you have under the consumer or data protection laws of the country you live in.
Changes and contact
If we change these terms or the Privacy Policy in a way that matters, we will tell you in the app or by email, and ask you to accept the new version before you carry on using the service.
